General Terms & Conditions Validdo

Validdo B.V., a private limited company (hereinafter: Validdo), is registered with the Chamber of Commerce under number 96138955 and is established at Westerstraat 10 (1016 DH) in Rotterdam.

Article 1 - Definitions

In these general terms and conditions, the following terms have the meanings specified below, unless expressly stated otherwise.

• Offer: any offer or quotation provided to the Client for the provision of Services by Validdo.
• Company: a natural or legal person acting in the course of a profession or business.
• Services: the services offered by Validdo, including the screening and verification of Participants, such as identity checks, address verification, criminal background checks, anti-money laundering (AML) checks, politically exposed persons (PEP) checks, social adverse information checks, as well as conducting phishing simulations and providing e-learning programs. The Services may be offered in various packages and solutions.
• Validdo: the provider offering Services to the Client.
• Client: the Company that makes a purchase from Validdo.
• Parties: Validdo and the Client collectively.
• Participant: the individual or company nominated by the Client to be screened and to receive phishing simulations and e-learning programs. The Client nominates the Participant by entering their details on the platform or by directly providing the details to Validdo in another manner.
• Assignment: any assignment and other obligations between the Client and Validdo, as well as proposals from Validdo for Services provided to and accepted by the Client, and executed by Validdo, of which these general terms and conditions form an integral part.

Article 2 - Applicability

1. These general terms and conditions apply to every Offer from Validdo, every Agreement between Validdo and the Client, and every Service provided by Validdo.
2. Before an Agreement (at a distance) is concluded, the Client will be provided with these general terms and conditions. If this is not reasonably possible, Validdo will indicate to the Client how the general terms and conditions can be accessed.
3. Deviation from these general terms and conditions is not permitted. In exceptional circumstances, deviations may be agreed upon if explicitly and in writing agreed with Validdo.
4. These general terms and conditions also apply to additional, amended, and follow-up assignments from the Client.
5. The Client’s general terms and conditions are expressly excluded.
6. If one or more provisions of these general terms and conditions are partially or wholly void or annulled, the remaining provisions of these general terms and conditions remain in force, and the void/annulled provision(s) will be replaced by a provision with the same intent as the original provision.
7. Ambiguities regarding the content, interpretation, or situations not covered by these general terms and conditions shall be assessed and interpreted in the spirit of these general terms and conditions. The provisions of the Agreement take precedence over these general terms and conditions.
